The IWRC Board of Directors is both a governing and working board.  All members have the same responsibility and authority in the organization, excepting the extra responsibilities assigned to Officers of the Board in the bylaws of the organization.  No Board member has a right to veto, and every member plays an equal part in the decisions of the organization. Under the IWRC bylaws, Board members have the following duties and authority:

General Powers – The property, affairs and business of the Corporation shall be managed by the Board of Directors (Directors). The Directors shall in all cases act as a Board, and, except as otherwise expressly provided by law, the Articles of Incorporation or the Bylaws, all such powers of the Corporation shall vest in the Board, and the Directors may adopt such rules and regulations for the conduct of their meetings as they may deem proper.

IWRC has a maximum of 15 Directors, and a minimum of 8. The IWRC Executive Committee (Officers of the Board) consists of the President, Vice President, Secretary and Treasurer. The Executive Committee is responsible for carrying out the normal business of the Board, subject to approval by the full Board.  Board terms are three years, and Officers are elected by the Board of Directors for two years.

The IWRC Board of Directors meets monthly by phone and in person two times a year.  All Board positions are volunteer positions.
